Welcome to CellParz. These Terms of Service ("Terms") govern your access to and use of the CellParz website (cellparz.com) and all related services provided by CellParz Inc. ("CellParz," "we," "us," or "our"). By creating an account or placing an order, you agree to be bound by these Terms.

1. Account Eligibility & Registration

CellParz is a wholesale-only platform designed for licensed repair businesses and authorized resellers. By creating an account, you represent and warrant that:

• You operate a legitimate business entity (repair shop, reseller, or distributor)
• You are at least 18 years of age and authorized to enter into binding agreements on behalf of your business
• All information provided during registration is accurate and complete
• You will promptly update your account information if it changes

All accounts are subject to verification and approval. We reserve the right to reject, suspend, or terminate any account at our sole discretion, including accounts that provide false or misleading business information.

2. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Choose a strong, unique password and keep it confidential
• Notify us immediately if you suspect unauthorized access to your account
• Not share your account credentials with third parties

CellParz is not liable for any loss or damage arising from unauthorized use of your account.

3. Pricing & Orders

• All prices are displayed in US Dollars (USD) and are wholesale prices for approved accounts only
• Prices are subject to change without prior notice. The price at the time of order confirmation applies
• Orders are not confirmed until you receive an order confirmation email from us
• We reserve the right to cancel or modify orders due to pricing errors, inventory shortages, suspected fraud, or account verification concerns
• Minimum order requirements may apply to certain products or promotions

4. Payment Terms

• Payment is due at the time of order placement unless you have an approved Net-30 or store credit account
• We accept major credit cards, wire transfers, and store credit
• Past-due accounts may be subject to suspension of ordering privileges, credit hold, and/or collection activity
• Store credit is non-transferable and expires 1 year from the date of issuance
• All sales are final once shipped, except as provided in our Return Policy

5. Shipping & Delivery

• Orders are processed within 1 business day for in-stock items
• Shipping times vary by carrier and destination. Estimated delivery dates are not guaranteed
• Risk of loss and title for products transfers to you upon delivery to the shipping carrier
• CellParz is not responsible for delays caused by carriers, weather events, customs, or other circumstances beyond our control
• You are responsible for providing an accurate shipping address. Re-shipment costs for incorrect addresses will be charged to your account
• For orders over $350, ground shipping is free within the contiguous United States

6. Returns, RMA & Refunds

• Defective products may be returned within 30 days of delivery via our RMA (Return Merchandise Authorization) process
• All returns require a valid RMA number. Unauthorized returns will be refused
• Products must be returned in original condition with all packaging and accessories
• Non-defective returns may be accepted at our discretion
• Approved RMAs are processed as store credit unless otherwise agreed upon
• Refunds to the original payment method are available for returns within 60 days of purchase
• Damaged-on-arrival claims must be reported within 3 business days of delivery

7. Warranty

CellParz branded products carry a limited warranty as specified on each product page and in our Warranty Policy:

• CityTech screens: Lifetime warranty against manufacturing defects
• All other parts & accessories (BATTRAY, Sounzo, TurtleQ, KASEQ, Volinkx, tools, and licensed products): 90-day warranty

Warranty covers manufacturing defects only and does not cover damage from misuse, improper installation, water damage, physical damage, or normal wear and tear. Warranty claims are issued as store credit at the lower of the current selling price or original purchase price.

8. Product Descriptions & Images

We strive to display products accurately on our website. However:

• Colors may vary slightly due to monitor settings and lighting conditions
• Product specifications are subject to change by the manufacturer without notice
• Product packaging may differ from images shown on the website

CellParz does not warrant that product descriptions, pricing, or other content on the website is error-free. If a product is listed at an incorrect price, we reserve the right to cancel the order and notify you.

9. Intellectual Property

All content on this website — including but not limited to brand names (CityTech, BATTRAY, Sounzo, TurtleQ, KASEQ, Volinkx), logos, product images, text, graphics, and software — is the property of CellParz Inc. or its licensors and is protected by applicable intellectual property laws. Unauthorized reproduction, distribution, or modification is strictly prohibited.

The Transformers brand and associated trademarks are the property of Hasbro, Inc. and are used under license.

10. Prohibited Uses

You agree not to:

• Use our website or services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, crawl, or use automated tools to extract data from our website without written permission
• Misrepresent your identity or business credentials
• Resell products as new if they have been installed, tested, or used
• File fraudulent warranty claims or RMA requests

11. Account Suspension & Termination

We may suspend or terminate your account at any time if:

• You violate these Terms or any applicable law
• Your account information is found to be inaccurate or fraudulent
• You have past-due balances exceeding 60 days
• We detect suspicious activity or potential fraud

Upon termination, any remaining store credit balance will be forfeited unless prohibited by applicable law.

12. Limitation of Liability

To the fullest extent permitted by law, CellParz's total liability for any claim arising from or related to these Terms or our products shall not exceed the purchase price of the products giving rise to the claim. In no event shall CellParz be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data.

13. Indemnification

You agree to indemnify and hold harmless CellParz Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our website or products, your violation of these Terms, or your infringement of any third-party rights.

14. Force Majeure

CellParz shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, labor disputes, or interruptions of utility or telecommunications services.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website after modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
